Citrin Cooperman has a new #PrivateEquity investor: a Blackstone-led investor group has acquired a majority stake in the US-based CPA firm, giving it a $2 Bn enterprise value! The #PE group acquired this stake from New Mountain Capital, marking the entry of this $1 Tn giant into the #accounting industry. Since 2021, the accounting industry has seen an influx of deals, with Citrin Cooperman becoming the first firm to undergo these changes twice. Reading more on the deal from Financial Times, here is what I could understand: - The Blackstone-led consortium will hold a majority ownership exceeding two-thirds, incorporating smaller investors to ensure Blackstone’s stake remains below 50%. This structure addresses regulatory concerns regarding Citrin Cooperman’s audit business independence. - New Mountain became one of the pioneers among major private equity firms to venture into the U.S. accounting industry when it acquired a controlling stake in Citrin Cooperman in late 2021. The deal valued the accountancy firm at approximately $500 million. The sale of this stake has been closely watched within the sector as an indicator of current valuations. - According to sources with knowledge of the transaction, #Blackstone is acquiring Citrin Cooperman at a valuation approximately 15 times its EBITDA, a significant increase from the 11 times EBITDA multiple #NewMountain paid during its initial acquisition. - Private equity ownership has significantly accelerated merger and acquisition activity within the accounting sector. According to sources familiar with the numbers, when New Mountain acquired Citrin Cooperman three years ago, the firm’s revenue was approximately $350 million. By 2024, this figure had surged to around $850 million, driven by a series of strategic acquisitions of regional accounting firms. This growth has positioned Citrin Cooperman among the top 20 largest accounting firms in the U.S. Under the Blackstone agreement, Citrin Cooperman partners will retain the majority of their ownership in the firm while benefiting from a partial share sale, according to sources familiar with the deal. Partners were informed about the specifics during a briefing on Monday. Over time, management is expected to gradually increase their ownership stake by allocating performance-based bonuses. Allan Koltin, CEO of Koltin Consulting Group, Inc. and advisor on the deal, noted the groundbreaking nature of this transaction within the accounting profession. Healthcare services deal volume in 2Q2024 continued its recovery, setting the stage for a promising second half. Antitrust concerns and macroeconomic challenges notwithstanding, physician practice management and multi-site healthcare operators remain attractive to sponsors and acquirers. The outsourced services sectors are gaining investor attention, with the 2023 deal downturn resulting in significant dry powder across healthcare funds. This backlog is poised to drive a more active M&A landscape. As market pressures persist, investors are focusing on verticals with lower reimbursement and labor risks such as healthcare IT, clinical research, and pharmaceutical services. Private equity players are diversifying their portfolios by expanding into these areas, leveraging their expertise for strategic growth. We anticipate 2025 to be a more active year for biopharma mergers and acquisitions with potentially downward pressure on interest rates from the Federal Reserve and the Presidential election season now behind us. That said, looking back, 2024 proved to be a quieter year for deal activity versus expectations with a total of 39 deals (greater than $50 million in size) -- according to data that we pulled from the BioPharma Dive database. This falls in between the 38 deals in 2023 and the 43 deals in 2022. However, none of the deals in 2024 were over $5 billion in value -- versus eight deals over $5 billion in 2023 and three deals over $5 billion in 2022. In our view, this could reflect a broader trend in recent years of smaller biopharma firms being more willing (and able) to take their own products all the way through clinical trials to market -- versus deciding to sell-out to (or partner with) a larger pharma sponsor. This is consistent with trends in FDA approvals that we have separately reviewed. In 2024, of the 55 FDA drug approvals, only 23 (42%) were sponsored or co-sponsored by companies with sales of over $3B. This is down from 43 (63%) in 2023. Also, in 2024, only two approvals included a commercial partnership (i.e., Syndax Pharmaceuticals with Incyte and GENFIT with Ipsen), down from eleven commercial partnerships in 2023. Finally, notably, in 2024, we saw no one pharma company win more than two drug approvals. It was a major change from 2023 when we saw Pfizer score seven approvals -- and GSK Pharmaceuticals, Biogen and UCB winning three approvals each. Read more here: https://lnkd.in/e4yyMmgN
